GENERAL TERMS AND CONDITIONS

of Sortimo Walter Rüegg AG

1. validity

1.1 These General Terms and Conditions of Business (GTC) apply in their current version to all our business relationships with our customers. Sortimo Walter Rüegg AG reserves the option to revise these GTC at its own discretion.

1.2 Deviations from these GTC are only valid in written form. Individual agreements made with the customer in individual cases shall in any case take precedence over these GTC.

1.3 Should individual clauses of these GTC be invalid in whole or in part, this shall not affect the validity of the remaining clauses. These GTC shall also apply if we carry out the delivery to the customer without reservation or provide services for the customer in the knowledge that the customer's terms and conditions conflict with or deviate from these GTC.

1.4 Customers within the meaning of these GTC are both consumers and entrepreneurs.

2. offers and conclusion of contracts

2.1 Our offers are subject to change and are non-binding. The sales documents as well as technical descriptions and drawings provided by Sortimo Walter Rüegg AG are also not binding. Our offers are only binding in exceptional cases and in individual cases if we submit them in writing and expressly designate them as binding.

2.2 All information about suitability, application possibilities and the subject of our goods/services is given to the best of our knowledge and is only approximately authoritative, unless the usability of the delivery or service for the contractually intended purpose requires an exact match. In this respect, the customer is not released from the obligation to satisfy himself by his own examination of the suitability of the goods/services for the contractually intended purpose and their contractually agreed quality.

2.3 The validity of the offer is based on the offer. We reserve the right to make price changes due to significant changes in procurement prices, even within the validity of the offer.

2.4 The products from the online shop represent legally non-binding offers and serve as an invitation to submit an offer.

2.5 The contract with the customer shall be concluded with the issue of the order confirmation (AB) or acceptance of offer by Sortimo Walter Rüegg AG. Any deviating or additional conditions to the AB shall only be recognised if they are expressly recorded in writing.

3. prices, shipping costs

3.1 Unless otherwise agreed, the prices of Sortimo Walter Rüegg AG are ex warehouse excluding packaging and transport costs. VAT is not included in the prices and shall be shown separately on the invoice/invoice.

3.2 Prices in price lists and catalogues as well as surcharges are subject to change. Sortimo Walter Rüegg AG reserves the right to adjust these to market and currency conditions without prior notice.

3.3 We deliver exclusively in Switzerland. Shipment is at the customer's risk, even if we bear the transport costs by way of exception. We are not obliged to take out transport insurance. With the delivery of the goods/services to the carrier, at the latest when they leave our workshop or warehouse, in the case of drop shipments the warehouse of our upstream supplier, the risk shall pass to the customer, even in the case of carriage paid transactions.

4. terms of payment

4.1 Invoice amounts shall be paid within 30 days without any deduction (net). After the invoice has expired, interest on arrears shall be charged.

4.2 When ordering via our online shop, the customer can pay the purchase price plus the flat rate shipping fee ("total price") by credit card, PayPal or by cash in advance.

4.3 The goods delivered by us shall remain the property of Sortimo Walter Rüegg AG until payment has been made in full. The customer authorises Sortimo Walter Rüegg AG to take all necessary precautions to legally establish the retention of title, in particular to enter it in appropriate registers without the customer's involvement.

5. delivery times and risks

5.1 Delivery shall be ex warehouse Oberhasli or warehouse Jegenstorf.

5.2 If we are also responsible for assembly, the place of performance shall be the place where the assembly is to take place. At the customer's request, the goods shall be shipped to another destination, whereby the mode of shipment and packaging shall be subject to our dutiful discretion.

5.3 Shipment shall be at the customer's risk, even if we bear the transport costs by way of exception. We are not obliged to take out transport insurance. Upon delivery of the goods/services to the carrier, at the latest upon leaving our workshop or warehouse, in the case of drop shipments the warehouse of our upstream supplier, the risk shall pass to the customer, even in the case of prepaid transactions.

5.4 We shall only take back packaging supplied within the scope of our statutory obligations. The return does not cover the return delivery and the costs incurred for this. The disposal of the packaging shall be charged to the customer at our cost price. Insofar as the packaging is not returned to us, we shall not be obliged to participate in or bear any disposal costs.

6 Warranty and limitation of liability

6.1 If the delivered goods are defective, the customer must immediately notify Sortimo Walter Rüegg AG in writing within 10 days of receipt of the consignment. If the customer discovers hidden defects after the expiry of this period, which could not have been discovered during proper inspection, he must report these to Sortimo Walter Rüegg AG in writing within 3 days of discovery. If a written complaint is not made or not made within the time limit, the delivery concerned shall be deemed to have been approved and the customer shall lose all warranty claims.

6.2 Transport damage must also be reported to the carrier.

6.3 Claims for warranty due to defects in the goods shall in any case become statute-barred at the latest three years after delivery of the goods and five years after delivery of the facilities.

7 Liability, compensation

7.1 Any claims for damages by the customer, for whatever legal reason, indirect and consequential damages, loss of profit, etc. in connection with the order, delivery or use of our goods / services are excluded.

7.2 The customer shall not be entitled to any other rights in connection with incorrect fulfilment of the contract by Sortimo Walter Rüegg AG than those provided for in these GTC.

8. copyrights / industrial property rights

8.1 All copyrights to our catalogues, price lists, technical documents or pictures belong to Sortimo Walter Rüegg AG. Any use or adoption of pictures, drawings, texts etc. is prohibited without the written consent of Sortimo Walter Rüegg AG.

9. data protection

9.1 We collect, store and utilise customer data within the framework of the processing of contracts. With regard to the details, we refer to the data protection provisions, which are stored on our website and can be accessed there at any time.

10 Applicable law, place of jurisdiction

10.1 The place of jurisdiction is Oberhasli (Zurich). Swiss law shall apply, to the exclusion of the Vienna Sales Convention.
